Éric Archambault
Mr. Archambault joined Séguin Racine after articling with the firm. His practice focuses essentially in public and private corporate financing, securities law, corporate governance and commercial and corporate law.
Mr. Archambault is regularly involved in national and cross-border mergers and acquisitions for which he participates in the due diligence processes and the contractual drafting. He has completed several private placements as well as participated, on behalf of issuers and market intermediaries, in listings on the stock exchange and reverse take-over bids of capital pool companies, initial public offerings and secondary offerings. On a daily basis, Mr. Archambault ensures that public companies maintain their exchange listing requirements in addition to drafting and reviewing their continuous disclosure documents. Furthermore, he guides boards of directors in the implementation of the best corporate governance practices and drafts various commercial agreements related to securities transactions.
Before starting his practice with the firm, Mr. Archambault worked for the Business law and International Trade Center (CDACI) of the University of Montréal to assist the faculty in writing doctrinal papers and conferences regarding securities law, corporate governance, credit rating agencies and technology transfers in international licensing agreements, franchise and distribution/agency/concession. Finally, he actively contributes to preparation of conferences given by the firm about reverse take-over bids, joint ventures and continuous disclosure obligations.
